KPC Group, the parent company of KPC Healthcare, is offering $610 million to acquire four hospitals from Verity Health System.

Verity Health System has been struggling financially, with a reported operating loss of $111.4 million in 2018, up from $35.3 million in 2017.

The acquisition includes Francis Medical Center in Lynwood, St. Vincent Medical Center in Los Angeles, Seton Medical Center in Daly City, and Seton Coastside in Moss Beach.

KPC Group has pledged to keep current employees, and the winning bid is subject to court and California attorney general approval.

The proposed sale price for each hospital is $420 million for St. Francis, $120 million for St. Vincent, and $70 million for both Seton Medical Center and Seton Coastside.

Verity Health System is also seeking to sell its other two hospitals, O'Connor Hospital in San Jose and St. Louise Regional Hospital in Gilroy, to the county of Santa Clara for $235 million.

However, the California attorney general has delayed the deal due to a disagreement over pension obligations and collective bargaining agreements.
