History of GL Trade

GL Trade was first established in May 1987 by Louis Christophe Laurent, Bernard Grouchko, and Jean-Luc Wibaux to enter the Paris Stock options market.

The company's founders, Pierre Gatignol and Louis-Christophe Laurent, decided to keep the acronym GL, which has been used ever since.

GL Trade was established in 1990 with Jean-Luc Wibaux as CEO, marking a significant milestone in the company's history.

In 1992, SBF Société des Bourses Françaises (ex Euronext) headed by Mr. Theodore decided to buy 51% of GL Trade for strategic matters.

However, in 1998, 35% of the company was sold to Reuters before listing on the Paris stock exchange.

GL Trade was acquired by US-based SunGard in 2009, one of the world's leading software and technology services companies.

The GL Trade shares were distributed as follows: NYSE Euronext owned approximately 40%, the founders held 25.4%, and 36.6% of the shares were free floating.

SunGard announced its intention to acquire GL Trade in May 2008, purchasing 65% of the company for USD 625 Million, including the effect of outstanding stock options.

The total deal value of nearly USD 1 Billion was considered to be financially hazardous, given the company's reported revenues of EUR 203 Million and EBITDA of EUR 26 Million (fiscal year 2007).

GL Trade Features

The Geneos GL Orderbook plug-in is most effectively used as a manual trigger to produce a snap-shot of the orders on an exchange order book on the GL servers.

It provides the means to compare perceived orders (as seen in the GL Win) against the actual or partially executed orders in waiting.

The published view of the orderbook includes fields such as noUti, mnemo, orderStatus, quantity, price, and remainQty.

These fields allow for a detailed analysis of the orders, including the quantity and price of each order.

The script that runs the orderbook is allowed to run for 1800 seconds by default.

This means that the script will run for 30 minutes before it times out.

GL Trade is entering the U.S. market for sellside order management systems, signing contracts with four or five undisclosed brokerage houses to develop a full-blown order management and trading system.

The final product, expected to be ready by the end of the year, will compete with offerings from industry leaders Sungard/Brass, Royalblue, NYFIX, Lava Trading, and Bloomberg.

GL Trade already offers a basic order management platform in the U.S. that is largely limited to order routing and order monitoring.

The new system will add functionality necessary to upgrade the system for full-blown trading, including the ability to handle trading of both Nasdaq and listed securities.

SunGard announced its intention to acquire GL Trade for €41.70 per share in August 2008.

The acquisition would give SunGard a majority stake in GL Trade, with the Main Shareholders agreeing to sell their shares at this price.

SunGard's offer is structured as the acquisition of 100% of Financière Montmartre S.A. and 900,032 shares of GL Trade directly held by the Main Shareholders.

SunGard has arranged financing for the transaction and expects to launch an all-cash tender offer for the remainder of GL Trade's share capital at the same price after completing the acquisition.

Pierre Gatignol, executive chairman of GL Trade, commented that the proposed project would reward 20 years of dedication to their clients.
